Brick Free Flow General Terms and Conditions

Brick Free Flow General Terms and Conditions This is an agreement between PT BrickFinancial Inclusive (“Company or Brick”) with Clients who intend to use Brick Services (Clients and COMPANY are each referred to as a “Party”, and collectively referred to as as “Parties”).

Accordingly, the Parties agree to bind themselves to the Brick Free Flow General Terms and Conditions which are governed by the following terms and conditions:

1. Brick applies promos to Clients by waiving Service Fees for 100,000 (one hundred thousand) transactions per month on the Fund Transfer Service (“Promo”) which is valid for 3 (three) months, accumulative total quota is 300,000 (three hundred thousand) free transactions, that can be used effectively from 1 March 2023 to 31 May 2023 (“Promo Period”);

2. What is meant by a free transaction, is a money transfer fee (Service Fee) according to the price listed in point 12 - Transaction Volume Based Price Table;

3. To be able to use this Promo, Clients are required to:

• Client must register its company and activate a BrickPay account to get Production Access, via the Brick Dashboard or via the link https://app.onebrick.io/onboarding/brick-pay.
• Provide a complete document as required in the Brick Dashboard (“Onboarding Process”).
• The client must had received an email notification and approval from Brick in regard to the activation of BrickPay account.
• The Client has placed some funds, or (Top-up Deposit/pre-fund), for the purpose of sending money, into the account specified by Brick to the Client.

4. The free transaction promo will be included in the invoice issued by Brick to the Client for the use of the Fund Transfer Service of the previous month;

5. If in the case that the promo quota of 100,000 (one hundred thousand) free transactions is not fully used in that month, the remaining free quota will not be carried over to the next following month;

6. Brick will allocate another quota of 100,000 free transactions in the following month, and so on until this Promo Period ends;

7. The free transaction promo is prohibited from being traded to any third party in any way ("Prohibition"). If this prohibition is violated, it will cause the promotion to be revoked or not valid;

8. If the quota of 100,000 free transactions for that month has been utilized, Brick will charge the next transaction with a Service Fee, by automatically debiting the Client's Deposit, and calculating the tax on the fees accordingly (Service Fee), The Service Fee is referred to the table as stated in point-10 - Price Table Based on Transaction Volume, The Service Fee is based on pricing at Tier 5, which is IDR 1,000 per transaction, for clarity about this explanation, Clients can refer to the following example:

• In March 2023, the Client is entitled to use a promo quota for 100,000 (one hundred thousand) free transactions.
• Up to the first 100,000 transactions, Brick will not debit the Client's Deposit balance for remittance Service Fees and its tax, Brick will only debit the
• Client's Deposit balance for the principal amount of remittance funds sent by the client.
• From the 100,001st transaction onwards, Brick will start to charge a Service Fee which refers to point-10 of the Tier 5 pricing of IDR 1,000, and in this example, the fee is subject to 11% VAT. For example:

9. At the end of the Promo Period, accordingly, to point-1 above, the Client will be subjected to the following Service Fee scheme as stated in point-10 below:

After the Promo Period ends, for each Funds Transfer Service used by the Client, Brick will only debit the Client's Deposit balance for the principal amount of the money transfer, while the money transfer Service Fee and the tax will be invoiced separately on the first date of the following month, accordingly to point-10 above, based on client's transaction volume and it's applicable tiering price;

12. Brick also has the right to stop the Promo, before this Promo Period ends, with prior notification to the Client via email no later than 48 (forty-eight) hours before the Promo is ended, without being required to provide any explanation to the Client for stopping the Promo;

13. The Parties agree that these Brick Free Flow General Terms and Conditions are an integral part of the General Brick Service Terms and Conditions (“General Terms and Conditions”) and Disbursement Pricing Agreement (“Terms of Pricing”), altogether is referred to as the (“Agreement”) and the CLIENT declares to has read and understood all of this General Terms and Conditions; and

14. These Terms and Conditions are made in Indonesian and English, in case of a dispute between the two versions, the Indonesian version will prevail.
